These Terms are intended for business users operating Shopify stores. If your merchant agreement, order form, or mandatory local law grants you additional rights, that specific document or law will control to the extent of the conflict.
Zelium AI is an independent app. Shopify is not a party to these Terms and is not responsible for the app, support, or any merchant dispute relating to the app.

1. Parties and Acceptance
These Terms of Use ("Terms") are between PHI VENTURES LLP, trading as Zelium AI ("Zelium AI", "we", "us", or "our"), and the merchant, business, or entity installing or using Zelium AI ("you" or "Merchant").
By installing, accessing, or using Zelium AI through Shopify or related services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not install or use the app.
2. The Service
Zelium AI is a Shopify app that may provide features such as:
- AI discoverability scoring and product quality analysis.
- Suggestions for metadata, identifiers, schema, content, and media improvements.
- AI-generated summaries, draft copy, and structured output.
- Merchant-reviewed or merchant-enabled fixes and product updates.
- Public product feed generation, feed hosting, and llms.txt support.
- Historical snapshots, analytics, crawler insights, and plan-based feature access.
We may improve, add, remove, or modify features over time. Some features may only be available on certain plans or may require additional setup inside Shopify.
3. Eligibility and Business Use
- You must have authority to bind the merchant or business using Zelium AI.
- You must maintain an active Shopify store and comply with Shopify's terms and policies.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- You are responsible for keeping your Shopify admin and merchant credentials secure.
4. Shopify Platform and Billing
Zelium AI is intended to operate within Shopify's app framework. Authentication, app installation, certain permissions, and subscription billing are handled through Shopify.
- Recurring charges, if any, are billed through Shopify's billing system.
- Plan pricing, feature limits, and billing intervals are shown in the app and/or the Shopify App Store listing.
- Unless expressly required by law, fees are non-refundable once billed.
- Cancellations generally take effect prospectively, and the merchant may continue to have access through the end of the then-current billing period as implemented by Shopify.
- If a downgrade or cancellation removes access to a feature, Zelium AI may deactivate that feature, including disabling or removing public feed files.
We may change pricing, plans, or usage limits with reasonable notice. Continued use after the change becomes effective constitutes acceptance of the updated pricing or plan terms.
5. Merchant Data and Permissions
You retain ownership of your store data, content, and merchant materials. By using Zelium AI, you grant us a limited, non-exclusive, revocable right to access, copy, process, transmit, store, and, where a feature requires it, modify your store data solely to provide the service.
This includes permission to:
- Read products, content, theme/storefront-related data, and other approved Shopify resources.
- Generate scores, analytics, and suggested improvements.
- Create AI-generated summaries or recommendations from store content.
- Write approved or merchant-enabled changes back to Shopify where you use those features.
- Generate and host merchant-authorized public feeds and discovery files.
You represent and warrant that you have all rights necessary to provide the data you submit through the app, and that use of the data by Zelium AI under these Terms will not infringe third-party rights or violate law.
6. AI Features and Output
Zelium AI uses third-party AI systems to analyze store content and generate suggested or draft output. AI output may include summaries, descriptions, attribute suggestions, structured data, or other optimization assistance.
- AI output is provided on an "as is" basis and may be incomplete, inaccurate, biased, or unsuitable for your use case.
- You remain solely responsible for reviewing, editing, approving, and publishing content used on your store.
- Zelium AI does not guarantee that AI output will improve rankings, discoverability, traffic, conversions, indexing, or marketplace placement.
- You must not rely on AI output as legal, tax, compliance, regulatory, medical, or other professional advice.
We do not authorize merchant data received through Shopify to be used to train generalized AI models on our behalf unless such use is clearly disclosed and separately authorized where required.
7. Public Feeds, llms.txt, and Public Content
Some Zelium AI features intentionally publish merchant content to publicly accessible URLs, including product feed pages and llms.txt or related discovery files.
By enabling those features, you authorize Zelium AI to:
- Display selected store and product data at public URLs.
- Serve those files via Zelium AI infrastructure and/or the merchant's domain through Shopify App Proxy.
- Allow AI crawlers, search engines, browsers, CDNs, and other internet clients to request those files.
You are responsible for ensuring that any content included in a public feed is appropriate for public disclosure. You should not enable public feed features for products or content that contain confidential, regulated, or personal data.
Because public content may be cached or indexed by third parties, disabling the feature may not immediately remove all third-party copies.
8. Acceptable Use
You agree not to:
- Use Zelium AI in violation of law, Shopify policy, or third-party rights.
- Upload or generate unlawful, defamatory, deceptive, infringing, or harmful content.
- Attempt to reverse-engineer, scrape, benchmark, disrupt, or bypass the service or its limits.
- Use the app to generate spam, misleading SEO content, or content intended to manipulate platforms unlawfully.
- Interfere with service integrity, security controls, or other users' access.
- Use public feed features to expose personal data or content you are not authorized to disclose.
We may suspend or limit access if we reasonably believe your use creates legal, security, reputational, or operational risk.
9. Third-Party Services
Zelium AI depends on third-party platforms and providers, including Shopify, cloud hosting providers, AI providers, monitoring services, and email providers. We are not responsible for outages, API changes, pricing changes, interruptions, or acts or omissions of those third parties.
Your use of those third-party services may also be governed by their own terms and privacy policies.
10. Intellectual Property
- Zelium AI and its software, workflows, branding, documentation, and service logic remain our property or our licensors' property.
- These Terms do not transfer any ownership in Zelium AI to you.
- Subject to your compliance with these Terms, we grant you a limited, non-transferable, non-exclusive right to use Zelium AI during your valid subscription or permitted use period.
- Merchant-specific output generated for your store may be used by you for your business, while the underlying service methods, prompts, models, templates, and systems remain ours or our providers'.
11. Disclaimers
Zelium AI is provided on an "as is" and "as available" basis to the fullest extent permitted by law.
To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the above, we do not warrant that:
- The app will be uninterrupted, error-free, secure, or compatible with every theme, app, or workflow.
- Any suggestion, AI output, or public feed will improve SEO, traffic, rankings, conversion, or discoverability.
- Third-party platforms such as Shopify, Google, Bing, OpenAI, marketplaces, or AI assistants will interpret content in any specific way.
- Public feed files or crawler access will always be available without interruption.
12. Limitation of Liability
To the fullest extent permitted by law, Zelium AI and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, rankings, traffic, data, business opportunity, or reputation.
Our aggregate liability arising out of or relating to Zelium AI, these Terms, or the Privacy Policy will not exceed the total amount paid by you to us through Shopify for the app during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Indemnity
You agree to defend, indemnify, and hold harmless Zelium AI and its affiliates, personnel, and providers from claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your breach of these Terms.
- Your store content, merchant data, or public feed content.
- Your violation of law, third-party rights, or Shopify policy.
- Your use of AI-generated output, product updates, or public publishing choices.
14. Suspension and Termination
- You may stop using Zelium AI at any time by uninstalling the app and cancelling paid plans through Shopify where applicable.
- We may suspend or terminate access if you breach these Terms, misuse the app, or create legal or security risk.
- After uninstall, we may retain certain data for a limited recovery, compliance, billing, audit, or dispute period as described in the Privacy Policy.
- Sections that by their nature should survive termination will survive, including IP, disclaimers, liability, indemnity, and dispute terms.
15. Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including natural disasters, epidemics or pandemics, war or armed conflict, terrorism, government actions or orders, labour disputes, power or internet failures, third-party platform outages (including Shopify, cloud providers, or AI providers), cyberattacks, or other force majeure events.
The affected party will use reasonable efforts to mitigate the impact and resume performance as soon as practicable. If a force majeure event continues for more than sixty (60) consecutive days, either party may terminate these Terms on written notice.
16. Governing Law and Disputes
Unless mandatory law requires otherwise, these Terms are governed by the laws of India, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts at Pune, India, or, if you elect arbitration and that election is validly documented between the parties, by arbitration seated in Pune, India in accordance with the Arbitration and Conciliation Act, 1996.
Before starting formal proceedings, both parties should first attempt good-faith resolution by contacting team@zelium.app.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify merchants through the app, by email, or by posting an updated version on this page. Continued use after the updated Terms become effective constitutes acceptance of the revised Terms.
